1. Acceptance
By registering for or using ClarixTech, you agree to these Terms of Service. If you are using ClarixTech on behalf of a business, you represent that you have authority to bind that business to these terms.
2. The Service
ClarixTech is a Customer Intelligence and AI Growth Platform that enables businesses to analyse customer conversations, automate engagement, and launch AI-powered campaigns. The platform may integrate with third-party messaging channels, including WhatsApp.
3. Acceptable Use
You agree not to use ClarixTech to:
- Send spam, unsolicited messages, or communications that violate applicable anti-spam laws.
- Violate any applicable law, including data protection, consumer protection, or telecommunications law.
- Violate the terms of any third-party platform connected to ClarixTech, including Meta's WhatsApp Business Terms.
- Harass, threaten, or deceive any person.
- Attempt to gain unauthorised access to any system or account.
- Reverse engineer or attempt to extract the source code of the platform.
4. WhatsApp and Third-Party Channels
When connecting a WhatsApp number to ClarixTech, you are responsible for compliance with Meta's WhatsApp Business Terms of Service and applicable messaging regulations. You must obtain any required consents from your customers before sending them messages through the platform. ClarixTech is not responsible for messages you send or for your compliance with third-party platform policies.
5. Trial Period
New accounts may access a 14-day free trial. No payment method is required for the trial. At the end of the trial period, the account will be downgraded to a read-only state unless a paid subscription is selected. Trial data is retained for 30 days after expiry before deletion.
6. Subscriptions and Payment
Paid subscriptions are billed in advance on a monthly or annual cycle. All fees are non-refundable except where required by law. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. We reserve the right to modify pricing with 30 days' notice.
7. Your Data
You retain ownership of all data you upload or generate through ClarixTech. You grant ClarixTech a limited licence to process that data solely for the purpose of providing the services. Our handling of your data is described in our Privacy Policy.
8. Intellectual Property
ClarixTech and all related technology, trademarks, and content are owned by ClarixTech. Nothing in these terms transfers any intellectual property rights to you beyond the limited right to use the platform as described herein.
9. Limitation of Liability
To the maximum extent permitted by law, ClarixTech shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform. Our total liability for any claim shall not exceed the fees you paid to us in the 3 months preceding the claim.
10. Termination
We may suspend or terminate your account if you breach these terms, with or without prior notice. You may close your account at any time by contacting abiola@clarixtech.com. Upon termination, your data will be deleted within 90 days.
11. Changes to Terms
We may update these terms from time to time. Material changes will be communicated by email at least 14 days in advance. Continued use of the platform after the effective date constitutes acceptance of the revised terms.
12. Governing Law
These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved through the courts of Nigeria, unless otherwise agreed in writing.
